The Service is provided on an "as is" and "as available" basis. We make no guarantees regarding investment outcomes, partnerships, funding, or the availability of any particular opportunity.

You must be at least 16 years of age to use our Service. By using the Service, you represent and warrant that you meet this requirement.

Certain areas of our platform require verification or approval before access is granted. You are responsible for maintaining the confidentiality of your access credentials and verification codes, and for all activities that occur under your session.

• Submit false, misleading, or fraudulent information

You may not copy, reproduce, modify, distribute, display, perform, or create derivative works from any part of the Service without our express prior written permission.

EasyClosed is not a financial advisor, broker-dealer, or investment firm. Our platform solely facilitates introductions between game developers and potential investors or partners. We do not:

• Provide investment advice, financial guidance, or recommendations of any kind

• Guarantee any funding, investment returns, or partnership outcomes

• Perform due diligence on behalf of any party

• Handle, process, escrow, or manage any funds or financial transactions

• Endorse or vouch for the accuracy of any submission or listing

All investment and partnership decisions are made independently by the parties involved. You should seek independent advice from qualified financial, legal, and tax professionals before making any investment or business decisions.

To the maximum extent permitted by applicable law, EasyClosed and its officers, directors, employees, agents, affiliates, and partners shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service

• Any loss of data, revenue, profits, goodwill, or business opportunities

• Any damages resulting from unauthorized access to or alteration of your data or transmissions

• Any actions, decisions, or outcomes resulting from connections made through our platform

• Any errors, inaccuracies, or omissions in user-submitted content

In no event shall our total aggregate liability exceed the greater of one hundred US dollars ($100) or the total amount you have paid to EasyClosed in the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless EasyClosed and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your violation of any rights of a third party

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without prior notice. You may also stop using the Service at any time.

Upon termination:

• All provisions of these Terms that by their nature should survive termination shall remain in full force and effect, including intellectual property provisions, disclaimers, limitations of liability, and indemnification

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally, the parties agree to submit to binding arbitration in accordance with applicable arbitration rules.
